This Educational Disclaimer, Terms of Use & Limitation of Liability (“Disclaimer”) is incorporated into and forms part of the Given Analytics Terms of Service (“Terms of Service”) and, together with the Privacy Policy, forms the “Agreement.” By accessing, viewing, reading, watching, downloading, or using any content, website, video, alert, regime reading, mathematical observation, data, quote, or service provided by Given Analytics, LLC (“Given Analytics,” “Company,” “we,” “us,” or “our”), you acknowledge that you have read, understood, and agree to this Disclaimer and the rest of the Agreement. If you do not agree with any part of the Agreement, you must immediately cease all use and leave the platform.

“MAY · POTENTIAL · EDUCATIONAL” applies to every communication, alert, video, post, and observation from Given Analytics.

1. Strictly Educational Purposes Only — No Advice of Any Kind

All content provided by Given Analytics is solely for general educational and informational purposes. Nothing we publish, transmit, or distribute constitutes investment advice, financial advice, trading advice, tax advice, legal advice, or any other professional advice or recommendation.

We do not and will not recommend that any person buy, sell, hold, enter, exit, or take any action with respect to any security, asset, digital asset, commodity, currency, derivative, or financial instrument. All outputs of both the Macro Engine and the Atlas Model are purely mathematical observations derived from quantitative frameworks and historical data.

2. The Two Systems — Macro Engine and Atlas Model

Given Analytics operates two separate, proprietary mathematical systems. The first is the Macro Engine, which reads a fixed set of 21 Federal Reserve Economic Data (“FRED”) economic and market data series and produces Given Analytics’ own observational view of the macroeconomic environment, expressed as a Macro Regime classification together with a Coherence Score and a Confirmation Score.

The second is the Atlas Model, a separate four-layer mathematical model — Price Structure, Rate of Change, Risk Regime, and Market Participation — that adapts to changing market conditions and evaluates symbols across the tracked universe. The two systems are independent of one another.

The Macro Engine is context. It is Given Analytics’ proprietary reading of the 21‑series data and reflects how Given Analytics perceives the macroeconomic backdrop. Its daily output is presented to members as the “Macro Backdrop.” It is an observation of the environment, not a forecast of it.

The Atlas Model is separate from, and independent of, the Macro Regime; the Macro Regime is not an input to the Atlas Model, and the Atlas Model’s math is based on the symbols themselves. The Atlas Model identifies, on a mathematical basis, which symbols are arming, aligning, and becoming active under its four‑layer rules. It is intended only as a starting point for a user to study, from which the user decides what information, if any, is useful for the user’s own process. Neither system tells any person what to buy, sell, or do.

3. Not a Registered Investment Adviser — Publisher’s Exclusion

Given Analytics is not a registered investment adviser with the Securities and Exchange Commission or any state securities regulator. We are not a broker‑dealer, commodity trading advisor, commodity pool operator, futures commission merchant, or any other regulated financial professional.

Given Analytics operates solely as a publisher of general educational content and seeks to qualify for the publisher’s exclusion under Section 202(a)(11)(D) of the Investment Advisers Act of 1940 on the following independent grounds:

  • Bona fide publication: Outputs of both systems are generated by rules‑based mathematical frameworks applied to market and economic data.
  • General and impersonal circulation: All users receive identical content simultaneously, and no content is tailored to any individual’s financial situation, portfolio, risk tolerance, objectives, or time horizon.
  • Regular circulation: Content is distributed on an automated, scheduled basis rather than in response to specific subscriber requests or individualized circumstances.

4. No Personalization — Simultaneous and Identical Distribution

We do not know, and do not take into account, any user’s financial situation, investment objectives, risk tolerance, time horizon, tax status, portfolio holdings, or any other personal circumstances. All content from both systems is distributed identically and simultaneously to all users. You alone are solely and exclusively responsible for every investment decision you make and for all resulting gains or losses.

5. No Discretion, No Auto‑Execution, No Funds Management

Given Analytics does not exercise discretion over subscriber funds, does not auto‑execute trades on behalf of any user, and does not manage, custody, or control client assets in any way. You alone are responsible for placing, modifying, managing, or canceling any order with any broker, exchange, or trading venue.

6. Atlas Model — Conditions and Lifecycle

The Atlas Model evaluates symbols under its four mathematical layers and tracks each symbol through a lifecycle: a condition becomes ARMED as layers begin to align, ACTIVE when all four layers align, and ENDED when alignment closes. A condition is a model classification indicating that predefined quantitative conditions have aligned under the model’s rules at a point in time. It is an observation only.

A condition is not a recommendation, a prediction, a guarantee of any outcome, a directive to buy, sell, hold, enter, or exit, a statement about future performance, or any form of financial advice. It is a starting point a user may study to decide what information, if any, is useful for the user’s own process. Every alert, post, video, and communication carries the same status: MAY · POTENTIAL · EDUCATIONAL.

7. Hypothetical, Historical, and Model Outputs

Any historical patterns, regime associations, mathematical conditions, alerts, quotes, backtests, examples, or outputs of either system are shown for educational purposes only. Hypothetical and historical results have inherent limitations and are not indicative of future results. Actual market outcomes can and often do differ materially and unpredictably.

CFTC Rule 4.41 Hypothetical Performance Disclosure: Hypothetical or simulated performance results have certain inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

Past mathematical conditions are not predictive of future conditions. No mathematical model, regardless of complexity, can predict or guarantee future market behavior.

8. Risk Disclosure

Trading and investing in securities, derivatives, commodities, currencies, digital assets, and other financial instruments involve substantial risk of loss, including the possible loss of all principal and, in leveraged products, amounts greater than the initial investment.

Outputs of the Macro Engine and the Atlas Model do not guarantee any particular outcome. Markets are complex, nonlinear, and subject to geopolitical, macroeconomic, behavioral, structural, and liquidity forces that no mathematical model can fully capture. You should never invest money you cannot afford to lose, and you should not make investment decisions based on Given Analytics content without first consulting a qualified, licensed financial professional who understands your full financial situation.

9. Macro Engine — Regime Framework Disclosure

The Macro Engine publishes macroeconomic environment or regime readings derived from a fixed set of 21 publicly available FRED economic and market data series, classifying conditions into mathematical states (including Expansion, Acceleration, Stagflation, and Contraction) together with a Coherence Score and a Confirmation Score. These readings are Given Analytics’ mathematical observations of the environment — not forecasts, not predictions, and not investment advice.

Historical associations between regime states and asset behavior are presented solely for educational purposes. Regimes can change rapidly and without warning, and readings may lag real‑world conditions because public economic data can be delayed, revised, or restated.

10. Data, Delays, Third‑Party Sources, and Revisions

All data, quotes, and observations may rely in whole or in part on third‑party sources and are subject to delays, revisions, errors, omissions, and incompleteness. We do not guarantee the accuracy, completeness, timeliness, reliability, or availability of any data, quote, reading, calculation, or output of either system.

Third‑party providers may revise historical data retroactively, which may change historical readings and outputs. All content is provided as of the time published and may later change without notice.

11. AI‑Assisted Content Disclosure

Some content is produced with the assistance of artificial intelligence tools for drafting, summarizing, formatting, and editorial support. All AI‑assisted content is reviewed by humans for compliance with Given Analytics’ legal and editorial standards before publication.

AI is not used to provide personalized financial advice or individualized investment recommendations. The underlying mathematical calculations and rules‑based outputs of the Macro Engine and the Atlas Model are deterministic processes independent of any AI system.

12. No Warranties — “AS IS” and “AS AVAILABLE”

All content and services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. To the maximum extent permitted by law, Given Analytics disclaims all warranties, including without limitation any warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, non‑infringement, availability, and uninterrupted operation.

Given Analytics does not warrant that any content or service will be error‑free, secure, or continuously available, or that any defects will be corrected.

The framework includes adaptive elements, and may evolve or be adjusted. Given Analytics may adjust, maintain, correct, or otherwise administer the framework, its data, and the published record at its discretion, including to address data issues, operational events, or errors. No representation is made that the framework, its outputs, or the record are free of error or interruption.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIVEN ANALYTICS, LLC, AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, RELIANCE ON, OR INABILITY TO USE ANY CONTENT OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, the total aggregate liability of Given Analytics for all claims arising out of or relating to any content or services will not exceed the total amount you paid to Given Analytics in the twelve (12) months preceding the event giving rise to the claim. This limitation is intended to align with the limitation of liability in the Terms of Service, which controls in any conflict.

14. Indemnification by You

You agree to indemnify, defend, and hold harmless Given Analytics, LLC, and its owners, officers, employees, contractors, agents, and affiliates from and against any and all third‑party claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use or misuse of our content or services, your breach of the Agreement, or your violation of any law, regulation, or third‑party right.

15. Governing Law and Dispute Resolution

This Disclaimer is governed by the laws of the State of Florida, without regard to conflict‑of‑laws principles.

All disputes arising out of or relating to this Disclaimer are subject to the binding individual arbitration and class‑action waiver set forth in the Terms of Service. That arbitration provision is the single, exclusive dispute‑resolution mechanism for the entire Agreement.

16. Entire Agreement and Amendments

This Disclaimer is incorporated into and forms part of the Given Analytics Terms of Service, together with the Privacy Policy. In the event of any conflict, the Terms of Service control, then this Disclaimer, then the Privacy Policy.

We may update this Disclaimer from time to time. The “Last Updated” date reflects the most recent revision. Your continued access or use of any content or services after an update constitutes acceptance of the updated Disclaimer.
